6.2 Client-Owned Deliverables

Upon full payment of all fees due under a Service Agreement, Etheros LLC grants the client a non-exclusive, perpetual license to use the deliverables created specifically for that client (e.g., website design files, content). Ownership of underlying tools, templates, frameworks, and proprietary methodologies used in the creation of such deliverables remains with Etheros LLC.

The specific IP ownership provisions for any engagement will be outlined in the applicable Service Agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

6.3 Your Content

You retain ownership of any content, materials, or assets you provide to Etheros LLC for use in delivering services ("Client Content"). By submitting Client Content, you grant Etheros LLC a limited, non-exclusive, royalty-free license to use, reproduce, and modify such content solely for the purpose of performing the services described in your Service Agreement.

6.4 Feedback

If you submit suggestions, ideas, feedback, or recommendations to Etheros LLC regarding our services, you grant us an irrevocable, perpetual, royalty-free right to use and incorporate such feedback into our services without any obligation of compensation or attribution.

7. Third-Party Services & Links

Our website and services may contain links to third-party websites, tools, or platforms. These links are provided for your convenience only. Etheros LLC does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website or service.

We use GoHighLevel as our primary CRM and marketing automation platform. Your data processed through GoHighLevel is subject to GoHighLevel's own privacy policy and terms of service, available at https://www.gohighlevel.com. Etheros LLC remains the data controller responsible for how your information is used within our service delivery.

Access to or use of any third-party service is at your own risk. We encourage you to review the terms and privacy policies of any third-party services you use in connection with our services.

8. Payment Terms

Unless otherwise specified in a Service Agreement:

• All fees are due and payable as specified in the applicable invoice, proposal, or Service Agreement.
• Payments not received within the agreed timeframe may result in suspension of services.
• All fees paid are non-refundable unless expressly stated otherwise in writing.
• Etheros LLC reserves the right to modify its service rates with reasonable advance notice to existing clients.
• Clients are responsible for any applicable taxes, duties, or levies associated with services rendered.

Disputes regarding invoices must be raised in writing within 10 business days of the invoice date. Failure to dispute an invoice within this period constitutes acceptance of the charges.

9. Disclaimers

9.1 No Guarantee of Results

Digital marketing involves inherent uncertainty. While Etheros LLC will apply professional skill and industry best practices in delivering services, we make no guarantees, representations, or warranties regarding specific outcomes, including but not limited to search engine rankings, website traffic, lead generation volumes, revenue increases, or advertising performance.

9.2 "As Is" Basis

Our website and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9.3 Accuracy of Information

We strive to keep information on our website accurate and current, but we make no warranty that the content is complete, accurate, reliable, or up to date. Any reliance you place on such information is strictly at your own risk.

9.4 Service Interruptions

You agree to defend, indemnify, and hold harmless Etheros LLC and its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Non-payment of fees;
• Conduct that we determine, in our sole discretion, is harmful to us, other clients, or third parties;

12.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination — including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall first be submitted to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Maricopa County, Arizona.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Etheros LLC.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with any applicable Service Agreement, Order Form, or Statement of Work, constitute the entire agreement between you and Etheros LLC with respect to the subject matter herein and supersede all prior and contemporaneous agreements, representations, and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Etheros LLC.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Etheros LLC may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

Etheros LLC shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications outages.

14.6 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.
